Proofpoint and Varonis announced a definitive acquisition agreement on 15 October in a release filed with the US Securities and Exchange Commission. The proposed all-cash transaction values Varonis at approximately $6.3 billion and offers its shareholders $49.75 per share.
Proofpoint is a portfolio company of investment firm Thoma Bravo. The companies describe the combination as a way to bring together protection for people and software agents with tools focused on data security and artificial intelligence risks.
Those expected benefits are the companies’ stated rationale. An agreement to acquire a business is a different milestone from completion of the transaction; this brief records the announced deal and does not describe the merger as already closed.
